These Terms of Service ("Terms") govern your access to and use of sergebusiness.com (the "Site"), its AI-guided intake chatbot (the "Chatbot"), and the Serge Assistant application (the "Assistant"), collectively the "Services," operated by Serge Business Development LLC, a Tennessee limited liability company, PO Box 30413, 2031 Wilma Rudolph Blvd, Clarksville, TN 37040 ("Serge," "we," "us," or "our").
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not access or use the Services.
These Terms govern the Site, the Chatbot, and the Assistant. They do not govern the terms of any paid consulting, development, branding, or automation engagement Serge may provide — that relationship is governed by a separately signed Client Services Agreement, which controls over these Terms with respect to scope, deliverables, payment, and ownership for that engagement.
The Chatbot asks about your business to prepare a preliminary internal briefing for our team ahead of a human consultation. Any pricing, scope, timeline, or recommendation it discusses is preliminary, non-binding, and not an offer or contract. No engagement is final until confirmed in writing by an authorized Serge representative.
The Assistant is a personal/business assistant that can store tasks, calendar events, notes, and documents on your behalf, and — if you choose to connect a Google or Facebook account — read your calendar or publish posts to a Facebook Page you manage.
THE CHATBOT, THE ASSISTANT, AND ANY OUTPUT THEY GENERATE (INCLUDING RESPONSES, SUMMARIES, DRAFTED CONTENT, OR SUGGESTED POSTS) ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. AI systems can produce incorrect, incomplete, or unexpected output. You are responsible for reviewing any AI-generated content before relying on it, publishing it, or acting on it — including anything the Assistant drafts for you to approve.

Serge may suspend or terminate your access for any suspected violation of these Terms.
Information you submit through the Services, and any data from Connected Accounts, is handled in accordance with our Privacy Policy, incorporated into these Terms by reference.
All content on the Site — including text, graphics, logos, the Serge name and brand, and the underlying software, prompts, and system architecture — is the property of Serge Business Development LLC or its licensors. Nothing in these Terms grants you any right, title, or interest in Serge's intellectual property beyond the limited right to access and use the Services for their intended purpose.
The Services rely on third-party providers (cloud hosting, AI model providers, text-to-speech, and any platform you connect via OAuth) to operate. Serge is not responsible for the availability, performance, or acts or omissions of these third-party providers, though we select and configure them consistent with our internal security and data-handling standards described in the Privacy Policy.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SERGE BUSINESS DEVELOPMENT LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, OR AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
SERGE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100 USD), OR THE AMOUNT YOU PAID SERGE FOR USE OF THE SERVICES, IF ANY, IN THE TWELVE MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.
This limitation applies only to your use of the Services under these Terms and does not modify the liability terms of any separately signed Client Services Agreement.
You agree to indemnify, defend, and hold harmless Serge Business Development LLC and its members, officers, employees, and agents from claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms or misuse of the Services.
Serge may update these Terms from time to time. The date at the top of this page reflects the most recent revision. Continued use of the Services after a change is posted constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or your use of the Services is subject to the exclusive jurisdiction of the state and federal courts located in Montgomery County, Tennessee, and you consent to personal jurisdiction there.
If any provision of these Terms is found unenforceable, that provision will be limited or eliminated to the minimum extent necessary so the remaining Terms stay in effect.
These Terms, together with the Privacy Policy, are the entire agreement between you and Serge regarding your use of the Services and supersede any prior agreements on the same subject. Any separately signed Client Services Agreement is a distinct agreement governing your paid engagement.
